U.S. Physical Therapy, Inc., which was reorganized in April 1992, complies with Nevada law and has subsidiaries in many states in the form of limited partnerships and wholly owned subsidiaries. U.S. Physical Therapy, through its subsidiaries, operates outpatient physical therapy clinics that provide pre- and post-operative care and treatment for plastic surgery-related diseases, sports injuries, preventive health care, recovery of injury sites and nerve injuries. In addition, the company operates a clinic specializing in the non-surgical treatment of outpatients, osteoarthritis, degenerative joint diseases and skeletal muscle diseases, and also provides physical therapy services on behalf of third parties. The Company conducts its business primarily through its sub-clinic partnerships, owning a 1% general partnership interest and a 64% limited partnership interest in these sub-clinics, and the clinic's clinical administrator owns the remaining limited partnership interest in most of its clinics. To a lesser extent, the company operates some clinics through its wholly-owned subsidiaries on the premise of profit-sharing with clinicians.
