Rithm Capital Corp., a Delaware corporation, was established in September 2011 with the objective of engaging in real estate related investments and commencing operations on December 8, 2011. The Company was established in September 2011 as a wholly-owned subsidiary of NIC MSR LLC (a Delaware limited liability company) and Newcastle. The Company converted to a Delaware corporation in December 2012 and changed its name to New Residential Corporation. Since it started operations on December 8, 2011, it has acquired Excess MSRs investments in mortgages and unsecured RMBS after September 30, 2012. New Residential will be a newly listed public real estate trust focused on investing in residential mortgage-related assets. The Company changed its name to Rithm Capital Corp. on August 2, 2022.
