Equus Total Returns, Inc., a Delaware corporation, was formed on August 16, 1991 by Equus Investments II, LP (the "Partnership "). On July 1, 1992, the partnership was reorganized and all assets and liabilities were transferred from the partnership to the Fund in exchange for the Fund's common stock. On August 11, 2006, its shareholders approved a change in the Fund's investment strategy to a total return investment objective, which aims to provide the highest total return, including capital appreciation and current income.
