Cool Company Ltd. was incorporated under the laws of Bermuda on October 31, 2018. The company is the owner, operator and manager of a growth-oriented, energy-efficient LNG transportation company that provides critical supply chain support to the international energy industry. CoolCo was established to provide customers around the world with modern and flexible LNG transportation solutions, providing low-emission forms of energy, helping to achieve decarbonization efforts, economic growth and improved quality of life. On January 26, 2022, Golar and CoolCo entered into a vessel SPA, pursuant to which CoolCo acquired Original Vessel and Cool Pool Limited from Golar for a purchase price of US $145 million, with the purchase price of each vessel subject to working capital and debt adjustment. Primitive ships have time charters of varying durations with major energy, utility and commodity counterparties.
