Chemed Corporation was incorporated in Delaware in 1970 as a subsidiary of W.R. Grace & Co., and until April 30, 1971, the company inherited the business of W.R. Grace & Co .'s Specialty Products Group. Until March 10, 1982, the company was a subsidiary of W.R. Grace & Co. In order to maximize shareholder value, Chemed purchased, operated and abandoned subsidiaries engaged in diversified businesses. The company operates a business based on decentralized management. The company has few centralized business functions (such as sales, marketing or purchasing). Chemed's corporate office management is involved and ultimately responsible for major capital allocation decisions, investment activities, financial reporting, taxation, legal and key management personnel selection for each operating business. Since its inception, the company has participated in 12 major acquisitions or divestitures of diversified business units. In 2015, Chemed operated in two divisions: Vitas Division (Vitas) and Roto-Rooter Division (Roto-Rooter). Vitas Healthcare provides hospice care to its patients through a system of doctors, registered nurses, home health aides, social workers, clergy and volunteers. Roto-Rooter provides plumbing and plumbing cleaning services to residential and commercial customers.
