Brookfield Infrastructure Corporation was incorporated on August 30, 2019 under the Business Corporations Act (British Columbia). The company was established by Brookfield Infrastructure as a vehicle to own and operate certain infrastructure assets worldwide. Pending the special allocation, the Company will acquire its operating subsidiary from Brookfield Infrastructure. After completing the special allocation, through these operating subsidiaries, the Company will own and operate high-quality, long-lived assets that generate stable cash flow, require relatively minimal maintenance capital expenditures, and tend to appreciate in value over time due to barriers to entry or other characteristics. Specifically, the Company's initial operations will primarily include ownership and operation of regulated natural gas delivery systems in Brazil, and regulated distribution operations in the United Kingdom, but based on Brookfield Infrastructure's recommendations and allocation opportunities to the Company, the Company intends to pursue acquisition opportunities in other industries with similar characteristics and apply an operation-oriented approach to creating value in these industries.
