Avalonbay Communities, Inc., was incorporated in 1978 under the laws of the State of California. The company is principally engaged in the development, acquisition, ownership and operation of apartment communities in high-entry areas in the United States. The company believes that apartment communities are an attractive long-term investment opportunity compared to real estate investment, as a broad base of potential residents should help reduce demand fluctuations during the real estate cycle. However, throughout the real estate cycle, apartment market fundamentals, and therefore operating cash flow, are affected by overall economic conditions. The Company seeks to create long-term shareholder value by obtaining capital on cost-effective terms; use this capital for the development, redevelopment and acquisition of apartment communities with high barriers to entry into the market; operate apartment communities; and sell communities when pricing is attractive or no longer in line with its long-term investment strategy. Barriers to entry into the company's market often include difficulties and lengthy entitlement procedures with local jurisdictions and dense urban or suburban areas where zoning and entitlement land supply are limited.
