Rand Capital Corporation was incorporated on February 24, 1969 in accordance with the laws of the State of New York. The subsidiary received a license from the Small Business Administration (US) in August 2002 to operate as a small business investment company. Originally a limited partner company incorporated in Delaware, the subsidiary was transformed into a New York State corporation on December 31, 2008, at which time its original licensed small business investment business continued to operate under the new corporate name, RAND Capital Small Business Investment Co., Ltd. The company's main business is to make venture capital investments in small and medium-sized enterprises, which are mainly engaged in the development of new or unique products in New York State and surrounding states, and have continuous competitive advantages. The company's main investment objective is to achieve long-term capital appreciation while maintaining cash flow from its debt instruments. The company makes mixed investments between debt and physical investment vehicles. Debt securities have a physical component in the form of stocks, warrants, and options that can acquire stocks or have the right to convert debt securities into stocks.
