National Healthcare Properties, Inc., incorporated as a Maryland corporation on October 15, 2012, intends to elect and qualify for taxation as a Caretrust Reit for U.S. federal income tax purposes beginning with the tax year ending December 31, 2013. The company was established to acquire a diversified portfolio of real estate assets, with a primary focus on building a portfolio of healthcare-related assets, including medical office buildings, senior housing and healthcare-related facilities. All such properties may be acquired and operated by the Company alone or jointly with another party.
