Independent Bank Corporation was established under the laws of the State of Michigan on September 17, 1973 to eventually develop into a bank holding company. The Company is registered under the Bank Holding Company Regulations, as amended in 1956, and owns the issued shares of the Independent Bank, which is organized under the laws of the State of Michigan. The company does not have any substantial assets other than the stock of the company bank; apart from collecting dividends from the company bank, distributing dividends to the company's shareholders and paying interest on subprime loans, the company does not operate any other business. At present, the company no longer pays dividends on common stock and preferred stock, and delays the payment of interest on subprime loans. Some employee health insurance as well as insurance plans and retirement plans (including employee share ownership and deferred compensation mechanisms) have been established. The cost of implementing these plans is borne by the subsidiary. The Company has no physical patents, trademarks, business licenses and franchises other than the franchise owned by the Company Bank, which is the only franchise that allows the Company to participate in commercial banking business subject to compliance with Michigan law.
