Gogo Inc., the world's leading provider of flight connectivity, has the industry's leading number of online aircraft and is a pioneer in wireless digital entertainment and other services in the commercial aviation market. The Company enables its airline partners, commercial aircraft pilots and their passengers to benefit from the connected aircraft, which is achieved by providing flight connectivity services to passengers and connecting the aircraft and its crew to ground consoles.
Gogo Co., Ltd. is a holding and investment company. It mainly conducts its business through two indirectly operated subsidiaries, Gogo LLC and Aircell Commercial Aviation Services LLC. At the same time, it holds the FCC ATG license through its subsidiary AC BidCo LLC and the Canadian ATG subsidiary license through Gogo Connection LLC. Air-cell Incorporated was incorporated in Texas on June 11, 1991 and merged and reorganized with Aircell Incorporated in Delaware on December 10, 1996. AC HoldCo LLC and its subsidiary AC BidCo LLC were incorporated in Delaware as a limited liability company on March 20, 2006. On January 31, 2007, Aircell LLC was reorganized into a limited liability company (Aircell LLC) and was merged by AC HoldCo LLC. On June 3, 2008, Aircell Business Services was established as an independently operated subsidiary. Aircell Holdings was established on December 31, 2009 through a two-step merger and reorganization, which transformed AC HoldCo LLC into Aircell Holdings, LLC incorporated in Delaware. On June 15, 2011, Aircell Holdings was renamed Gogo Co., Ltd., and LLC was renamed Gogo Co., Ltd. On June 8, 2012, the Company established Gogo Intermediary Investment Co., Ltd., a limited liability company incorporated in Delaware and a direct wholly-owned subsidiary of Gogo Co., Ltd. On June 8, 2012, Gogo LLC and Aircell Business Services Co., Ltd became direct wholly-owned subsidiaries of Gogo Intermediary Holdings Co., Ltd., both of which were originally direct wholly-owned subsidiaries of Gogo Co., Ltd.
