Gladstone Investment Corporation was incorporated under the laws of the State of Delaware on February 18, 2005. On June 22, 2005, the company completed its initial public offering of new shares and began operations. Gladstone Investments operates as an externally managed, closed-end, non-diversified investment company and has elected to be considered a business development company under the Investment Company Act of 1940 (as amended). For federal income tax, the Company has elected to be treated as a regulated investment company under Sub-Chapter M (as amended) of the Internal Revenue Code of 1986. In order to continue to qualify for federal income tax as a regulated investment company and to obtain good tax treatment as a regulated investment company, a company must meet certain requirements, including certain minimum distribution requirements.
