Calumet, Inc., or New Calumet, is a Delaware corporation incorporated on January 8, 2024 with the purpose of effecting the conversion. New Calumet has not carried out any business operations since its inception, except in the circumstances incidental to its establishment and the actions taken in connection with the transactions contemplated by the conversion. After the conversion, New Calumet, through its ownership of the partnership and its general partner as a direct or indirect subsidiary, will manufacture, formulate and sell a diversified range of specialty brand products and renewable fuels to a wide range of customers in the consumer and industrial markets.
