Dakota Gold Corp. is a private company focused on investing in mineral resource development opportunities and supporting management teams as they move projects forward. JR's sole investment and focus is its majority investment in Dakota Territory Resource Corp. and the completion of the merger and amalgamation agreement described herein.
Dakota Territory Resource Corp., a Nevada corporation headquartered in Lead, South Dakota, was incorporated in Nevada on February 6, 2002. Dakota is engaged in the business of acquiring and exploring mineral resources within the Homestake District of South Dakota (the "Homestake District "). To date, while no development or mining activities have started, Dakota's strategy is to move projects from exploration to development, and finally produce based on the results of exploration and development.
The Dakotas has 100% ownership of eight properties in the Homestake District, including approximately 1,700 unpatented claims and a combination of ground leases or titles, totaling approximately 29,300 acres, Including Maitland, Blind Gold, City Creek, Tinton, West Corridor, Ragged Top, Poorman Anticline and Basal Deadwood-Unconformity Properties, all of which are located in the heart of the Homestake District. In addition, Dakota has an interest in certain surface rights and remaining facilities in the Homestake District through an option agreement with Homestake Mining Company of California (" HMC ") and an interest in Richmond Hill Property through an option agreement with HMC and LAC Minerals (USA) LLC.
