Cellebrite to Acquire Corellium for $170mln in Cash

Cellebrite provides a Digital Intelligence platform for managing investigations, while Corellium specializes in virtualization and cloud-based solutions. Cellebrite Digital Intelligence Ltd., an Israel-based software developer, has announced its intention to acquire Corellium, a leader in Arm-based virtualization software, for an enterprise value of $170 million in cash. The acquisition is expected to enhance Cellebrite's capabilities in the digital forensics market.

Cellebrite's Digital Intelligence platform is widely used by public safety organizations, intelligence agencies, and businesses to lawfully access, collect, analyze, and share digital evidence in legally sanctioned investigations. Corellium, on the other hand, specializes in virtualization and cloud-based solutions, offering highly performant, scalable, and precise virtual models for mobile, automotive, and IoT devices.

The acquisition will combine Cellebrite's focus on digital investigations with Corellium's expertise in virtualization, creating a powerful tool for both public and private sectors. This combination will allow customers to accelerate the identification of mobile vulnerabilities and exploits, visualize and interact with virtual devices as if they were physically present, and increase the efficiency and efficacy of DevSecOps across all Arm-based devices.

The acquisition is expected to broaden Cellebrite's Total Addressable Market (TAM) in both the public and private sectors. In the public sector, Corellium's technology and talent will further enhance and broaden Cellebrite's Digital Investigation Platform. In the private sector, Corellium's virtualization platform is expected to extend Cellebrite's reach beyond eDiscovery and corporate investigation use cases through powerful virtualization solutions that enable development and security professionals to design the next generation of high-performance, secure mobile applications, IoT devices, and automotive systems.

The deal is expected to close this summer, subject to approval of the Committee on Foreign Investment in the United States and other customary closing conditions. Corellium securityholders will receive up to an additional $30 million in cash based on the achievement of certain performance milestones over the next two years.
