The proposed acquisition of Qube Holdings Limited by a consortium led by Macquarie Asset Management (MAM) continues to progress through regulatory approvals, with the Foreign Investment Review Board (FIRB) and New Zealand's Overseas Investment Office (OIO) assessments underway. The transaction, valued at approximately A$11.7 billion, involves a cash offer of $5.20 per share for Qube shareholders, excluding UniSuper, which will transfer its 15.07% stake for a corresponding interest in the consortium acquirer.

Under the Scheme of Arrangement, the transaction is subject to regulatory approvals, including from FIRB and the Australian Competition & Consumer Commission (ACCC). Given the cross-border nature of the deal and Qube’s operations in New Zealand, the OIO is also assessing the transaction under New Zealand’s Overseas Investment Act 2005 (OIA). The OIO evaluates investments in sensitive assets, including land and strategically important businesses, to ensure they align with national interests.

The OIO’s review process includes statutory timeframes, with initial assessments typically completed within 15 working days and detailed assessments taking up to 55 working days, with possible extensions. The OIO will assess whether the transaction meets the investor test and, where applicable, the benefit to New Zealand test. These assessments consider factors such as economic benefits, environmental impact, and alignment with national interests.

For the FIRB review, the Australian government will evaluate the transaction based on its impact on national security, economic benefits, and the broader public interest. Australia’s foreign investment framework emphasizes transparency and accountability, with recent regulatory updates reinforcing oversight and compliance.

The consortium has emphasized its commitment to supporting Qube’s growth and resilience, with a focus on investing in supply chain infrastructure and decarbonization initiatives. The transaction is expected to provide a stable platform for Qube’s continued development across Australia, New Zealand, and Southeast Asia.

As the regulatory process continues, stakeholders await final approvals to finalize the transaction.
