Community Financial System, Inc., was incorporated on April 15, 1983 under the General Corporation Law of the State of Delaware. The Company is a registered financial holding company and wholly owns two subsidiaries: Community Bank, N.A. (" Bank "or" CBNA ") and Benefit Plans Administrative Services, Inc. (" BPAS "). As of December 31, 2022, BPAS has five subsidiaries: Benefit Plans Administrative Services, LLC (" BPA "), a defined contribution plan administration service provider; Northeast Retirement Services, LLC (" NRS "), an institutional transfer agent, master record keeping service, Provider of fund management, trust and retirement plan services; BPAS Actuarial & Pension Services, LLC (" BPAS-aps "), Provider of actuarial and benefits consulting services; BPAS Trust Company of Puerto Rico; and Hand Benefits & Trust Company (" HB & T "), which provides collective investment fund management and institutional trust services. BPA has a subsidiary, Minnesota Benefit Design (" FBD "), that provides retirement plan management and benefits consulting services. NRS has a subsidiary, Global Trust Company, Inc. (" GTC "), a non-deposit trust company that provides trust services for collective investment trusts and other products. HB & T has a subsidiary, Hand Securities, Inc. (" HSI "), an introductory broker-dealer. The bank's business philosophy is to be a community bank that primarily makes local decisions in non-metropolitan markets, providing a wide range of banking and financial services to retail, commercial and municipal clients. The bank is a community bank dedicated to meeting the financial needs of customers in the local community.
