CBL & Associates Properties, Inc., was incorporated in Delaware on July 13, 1993 to acquire real estate properties substantially all owned by CBL & Associates and its affiliates. CBL & Associates was founded by Charles B. Lebovitz in 1978. The company is a self-run, self-managed, fully integrated real estate investment trust. The company owns, develops, acquires, leases, manages and operates regional shopping centers, open-air centers, community centers and office properties. The company operates essentially all of its businesses through operating partners. The company's revenue is primarily derived from the leasing of retail tenants, which generally includes fixed minimum rents, rents based on a percentage of the tenant's sales volume, and compensation for related expenses from tenants, including real estate taxes, insurance, common area maintenance and other recoverable operating expenses compensation, as well as certain capital expenditures.
