Bank Of Marin Bancorp was incorporated in 1989, obtained a banking license from the Bank of California Regulatory Office, and began operations in January 1990. Marin Bank is an insured bank under the Federal Deposit Insurance Act. On January 1, 2007, through the reorganization of the bank's holding company, Marin Bank became the holding parent company and was the only wholly-owned subsidiary under Bancorp. As of the effective date, each outstanding share of Banco Marin's common stock is converted into shares of Banco Marin's common stock. Bancorp is listed on the Nasdaq in the United States under the ticker symbol BMRC, which the bank has used. Prior to the Effective Date, Marin Bank filed the report and proxy statement of the Federal Deposit Insurance Corporation pursuant to Chapter 21 of the Securities and Exchange Act of 1934. Since the establishment of the holding company, Bancorp has been subject to the provisions of the revised version of the Bank Holding Company Act of 1956 in the United States. According to the Act, Bancorp shall comply with the reporting and inspection requirements of the Federal Reserve Board.
