Brookline Bancorp, Inc., was established in November 1997 to acquire the entire share capital of Brookline Savings Bank upon the completion of its restructuring from a mutual savings bank to a joint holding company structure. In January 2003, Brookline Savings Bank changed its name to Brookline Bank. The Company is a bank holding company (within the meaning of the Bank Holding Company Act of 1956, as amended) and is the parent company of Brookline Bank, a Massachusetts-chartered savings bank; Bank of Rhode Island (" BankRI "), a Rhode Island-chartered bank; and First Ipswich Bank (" First Ipswich ", Formerly the parent company of First National Bank of Ipswich, a Massachusetts Chartered Trust Company (collectively, the "Bank "). The Company is also the parent company of Brookline Securities Corp. (" BSC "). The company's main business is to provide commercial, commercial and retail banking services to its corporate, municipal and individual customers through its banking and non-bank subsidiaries. Brookline Bank, including its wholly-owned subsidiaries BBS Investment Corp. and Longwood Securities Corp., and its 84.8% -owned subsidiary Eastern Funding LLC (" Eastern Funding "), Operates 22 full-service banking offices in Brookline, Massachusetts and the Greater Boston metro area. BankRI, which includes its wholly-owned subsidiaries BRI Investment Corp., Macrolease Corporation (" Macrolease "), Acorn Insurance Agency and BRI Realty Corp., operates 18 full-service banking offices in Providence, Kent and Washington counties, Rhode Island. First Ipswich includes its wholly-owned subsidiaries First Ipswich Securities II Corp., First Ipswich Insurance Agency, First Ipswich Realty and FNBI Realty, It operates six full-service banking offices on the eastern north shore of Massachusetts and in the Boston metropolitan area.
