The predecessor of BitMine Immersion Technologies, Inc., was incorporated in Nevada as Interactive Lighting Showrooms, Inc., on August 16, 1995, and re-registered in Delaware on April 6, 2020. Their business strategy usually involves accumulating bitcoins for long-term investment, whether through their bitcoin mining business or from the proceeds of financing transactions. From time to time, depending on market conditions, they intend to (i) issue debt or equity securities or engage in other fundraising transactions with the purpose of using the proceeds to purchase bitcoins, and (ii) expand their bitcoin mining operations and retain any bitcoins they generate as long as they exceed their working capital requirements.
