Webus International Limited has entered into a conditional securities purchase agreement with Ripple Strategy Holdings, securing up to $100 million through a senior equity line of credit. This funding deal, announced on July 1, 2025, is designed to bolster Webus's XRP-based payment systems and blockchain loyalty initiatives. The agreement is subject to regulatory clearance, approval from the company’s lead underwriter, and the effectiveness of a registration statement with the U.S. Securities and Exchange Commission.
The equity line provides Webus with flexible access to funds over a 24-month period, allowing the company to draw between $250,000 and $3 million per tranche. This structure is intended to offer financial flexibility and reduce the risk of shareholder dilution by providing capital only when necessary. Webus plans to use the proceeds to expand its XRP-focused treasury initiatives, including crypto-enabled payments, blockchain-based loyalty programs, and international growth efforts. The company aims to build on its existing $300 million
management agreement, which supports treasury operations involving XRP, a digital token developed by Ripple Labs.Webus views this funding as a strategic tool to enhance its services in key global markets, particularly in North America and the Asia-Pacific region. The company is focused on strengthening its position in the blockchain-powered mobility sector by integrating XRP into its financial infrastructure. This integration aims to reduce transaction costs and improve cross-border settlement speed. Additionally, Webus is exploring the use of blockchain technology in loyalty programs, with plans to tokenize rewards using the XRP Ledger. This would allow customers to redeem and trade tokens across multiple platforms.
The conditional nature of the agreement highlights the regulatory challenges in crypto financing. The ongoing market fluctuations in the cryptocurrency space add to the complexity, as incorporating blockchain into main business operations requires substantial investment and specialized knowledge. Webus competes with firms in both the fintech sector and the blockchain startup space, and staying ahead will require continued innovation and effective execution.
