Catalyst Pharmaceuticals shareholders approved the merger with Angelini Pharma, with the acquired company to be a subsidiary of the Italian firm. Angelini Pharma has completed its acquisition of Catalyst Pharmaceuticals, with shareholders approving the merger at a special meeting held in June 2026. The transaction, valued at approximately $4.1 billion, involves the acquisition of all outstanding shares of Catalyst at $31.50 per share in cash, representing a 21% premium to the unaffected closing share price on April 22, 2026. The approval required a majority vote, with a quorum of 122.4 million shares present. Shareholders voted in favor of the merger, ensuring its progression. However, a non-binding advisory proposal related to executive compensation failed to gain approval.

Under the terms of the agreement, a subsidiary of Angelini Pharma will merge with Catalyst, and Catalyst will become a wholly owned subsidiary of Angelini Pharma. The acquisition is expected to be financed through a combination of cash and debt, with BNP Paribas acting as the sole global coordinator and underwriter. The transaction was unanimously approved by the Boards of Directors of both companies and is expected to close in the third quarter of 2026, subject to regulatory approvals and other customary conditions.

Catalyst’s portfolio includes three FDA-approved therapies: FIRDAPSE® (amifampridine) for Lambert-Eaton myasthenic syndrome, AGAMREE® (vamorolone) for Duchenne Muscular Dystrophy, and FYCOMPA® (perampanel) for epilepsy. Angelini Pharma plans to integrate these products with its existing Brain Health portfolio to develop a next-generation therapeutic platform in rare diseases.

The acquisition marks Angelini Pharma’s entry into the U.S. market and represents a strategic shift toward global expansion in neurological rare diseases. The combined entity is expected to strengthen Angelini Pharma’s North American presence while maintaining its core operations in Europe.
