Shares of Vishal Mega Mart Ltd. fell 7.8% to ₹115.10 on the BSE in early trading on February 24, 2026, following reports that promoter Samayat Services LLP executed a block deal to offload a 20% equity stake in the company, valued at ₹10,488 crore based on 91 crore shares traded at ₹115 apiece. This transaction, if confirmed, would mark one of the largest block deals in India's retail sector this year.

Earlier reports had indicated the promoter planned to sell a 10% stake worth ₹5,057 crore at a floor price of ₹110 per share, approximately 12% below the previous day's closing price of ₹124.90. The discrepancy in the scale of the deal highlights evolving negotiations, though official confirmation from the company or exchange remains pending.

Despite the sell-off, Vishal Mega Mart has delivered strong financial performance. The company reported an 88% year-on-year surge in net profit to ₹115.1 crore for Q4 FY25, driven by a 23.2% rise in revenue to ₹2,547.9 crore. EBITDA expanded 42.6% to ₹357 crore, with margins improving to 14% from 12.1% a year earlier. These results have fueled a 18% year-to-date gain in its stock price, outperforming the Nifty 50's 5% return.

As of March 31, 2025, Samayat Services held a 74.55% stake in Vishal Mega Mart, which operates as a hypermarket chain targeting middle- and lower-middle-income consumers across apparel, FMCG, and general merchandise. With a market capitalization of ₹58,096 crore, the mid-cap retailer has gained 12% since its December 2024 listing.

Analysts note that large block deals often trigger short-term volatility but emphasize the company's robust operational momentum. Investors are advised to monitor official disclosures for clarity on the transaction's structure and implications.
