DigitalOcean Holdings has priced an upsized public offering of 10.4 million shares of common stock, raising approximately $800 million. The company plans to use the net proceeds to invest in additional infrastructure capacity, strengthen its balance sheet by paying down its existing Term Loan A, and for general corporate purposes. The offering is expected to close on March 26, 2026. J.P. Morgan, Morgan Stanley, and BofA Securities are acting as joint book-running managers, and the offering is being made pursuant to DigitalOcean's effective shelf registration statement on Form S-3.
