TaskUs Shareholder Plans to Oppose Blackstone Acquisition

Think Investments, a 10.7% stakeholder in TaskUs, plans to vote against the company's sale to Blackstone for $16.50 a share, citing that it "substantially undervalues" the company. Think believes a fairer price should be considered. The sale is currently pending and has been agreed upon by TaskUs' board of directors.

San Francisco-based Think Investments has announced its intention to vote against the proposed take-private deal of TaskUs Inc. by Blackstone Inc. Think, which holds approximately 10.7% of TaskUs' shares, believes the offer to buy out TaskUs at $16.50 per share is "substantially undervalued." The firm suggests a more reasonable price would be $25 per share, stating that the transaction would prevent minority shareholders from realizing TaskUs' potential value creation [1].

Think Investments' opposition marks the second public dissent against the deal. Toronto-based Murchinson Ltd. previously expressed concerns, advocating for a minimum price of $19 per share. TaskUs was trading broadly flat at $17.32 on Tuesday, giving the company a market value of around $1.6 billion [2].

The deal, struck in May, represented a roughly 26% premium to TaskUs' 30-day volume-weighted average price. However, Think Investments argues that the buyer group has "cherrypicked" public comparables to support its offer price, potentially understating the company's implied valuation. The investor also points out that Capgemini SE's recent acquisition of WNS Holdings Ltd. came with a higher valuation despite having a lower growth profile [1].

TaskUs' board of directors' special committee is set to hold a vote on the deal on September 10. Think Investments, managing assets of $3 billion, holds about 23% of the unaffiliated vote, making its opposition a significant factor in the deal's approval [2].
