Sumitomo Mitsui Financial Group, Inc. (" SMFG ") was established on December 2, 2002 as the holding company of SMBC (" SMBC ") and its subsidiaries to exchange all outstanding equity securities of SMBC for newly issued securities of SMFG through statutory share transfer (kabushiki-iten). The company is a limited liability company established under the Companies Act of Japan. The Company is a holding company and directly owns 100% of the issued and outstanding shares of the Bank, one of the largest commercial banks in Japan. It is one of the three largest banking groups in Japan and has operations in all consumer and corporate banking sectors. The company has four main business segments, including commercial banking, leasing, securities and consumer finance.
