The purpose is to facilitate an initial public offering (" IPO ") of its common stock and become PBF Energy Company LLC (" PBF LLC "), a Delaware limited liability company. PBF Energy is one of the largest independent petroleum refiners and suppliers of non-commercial transportation fuels, heating oils, petrochemical feedstocks, lubricants and other petroleum products in the United States. The Company sells its products in the Northeastern and Midwestern United States, as well as the rest of the United States and Canada, and is able to ship products to other international destinations.
