STMicroelectronics to Acquire NXP's MEMS Sensors Business for $950M

STMicroelectronics plans to acquire NXP's MEMS sensors business for $950M, expanding its presence in the automotive safety and industrial sensor markets. The deal is expected to strengthen STMicroelectronics' position in the growing MEMS market. NXP's MEMS business generated $300M in revenue last year. The acquisition is subject to regulatory approvals and is expected to close in the fourth quarter of 2023.

STMicroelectronics has announced plans to acquire NXP Semiconductors' MEMS (Micro-Electro-Mechanical Systems) sensors business for up to $950 million in cash. The deal, which is subject to regulatory approvals, is expected to close in the first half of 2026. This acquisition aims to bolster STMicroelectronics' position in the growing automotive safety and industrial sensor markets.

The MEMS sensors business from NXP, which generated approximately $300 million in revenue last year, specializes in automotive safety applications such as airbags, vehicle dynamics control, and tyre pressure monitoring systems (TPMS). It also provides pressure sensors and accelerometers for industrial use. STMicroelectronics expects the acquisition to enhance its MEMS technology, product research and development capabilities, and roadmap.

Marco Cassis, President of STMicroelectronics' Analog, Power & Discrete, MEMS and Sensors Group, stated, "The acquisition is a strong strategic fit. The technologies and customer relationships from NXP will strengthen our position across key markets." [2]

The transaction is structured with an upfront payment of $900 million and an additional $50 million contingent on the achievement of specific technical milestones. The acquisition is expected to be accretive to STMicroelectronics' earnings per share from completion. [3]

STMicroelectronics' integrated device manufacturer model, which involves every stage of MEMS development, from design and manufacturing to testing and packaging, will enable faster innovation cycles and greater flexibility for customization. [4]

The deal reflects STMicroelectronics' ongoing commitment to advancing energy-efficient, high-performance sensor technologies that support future demands in electrification, automation, and connectivity.
