SoundHound AI (NASDAQ: SOUN) has filed an effective S-4 registration statement, signaling a significant business combination is in progress. This move aligns with the company’s broader strategy to expand beyond its core automotive voice AI segment into multiple industries, including restaurants, healthcare, retail, financial services, and telecommunications, using its OASYS platform. The OASYS platform, launched in early 2026, is described as a self-learning, orchestrated agentic AI system that automates the creation, evaluation, and improvement of AI agents over time.

The company has also announced plans to acquire LivePerson, a Nasdaq-listed enterprise technology firm specializing in conversational AI and digital customer engagement. The acquisition is expected to combine SoundHound’s voice and agentic AI platform with LivePerson’s digital messaging services, which handle approximately one billion customer messages per month. The transaction is anticipated to close in the second half of 2026, pending regulatory approvals and customary closing conditions. The combined entity is expected to offer an integrated solution for managing customer conversations across both voice and digital channels, expanding SoundHound’s enterprise footprint to over 30 countries.

SoundHound AI reported record first-quarter revenue of $44.2 million in 2026, a 52% increase year-over-year. However, the company continues to operate at a net loss, with a GAAP net loss of $25.0 million and a non-GAAP net loss of $26.6 million for the same period. Despite ongoing losses, the company maintains a strong balance sheet, with $216 million in cash and cash equivalents as of March 31, 2026, and no debt.

The business combination and cross-industry expansion represent a strategic shift for SoundHound AI, moving from a primarily automotive-focused voice provider to a broader enterprise customer base. The company’s long-term financial projections include $320.5 million in revenue and $38.6 million in earnings by 2029, requiring 20.3% annual revenue growth. However, some analysts remain cautious, noting that regulatory and competitive pressures could delay profitability despite the company’s aggressive expansion plans.

The acquisition of LivePerson is expected to accelerate SoundHound AI’s path to profitability, with the combined entity projecting a minimum of $350 million to $400 million in revenue for 2027. The company also reaffirmed its full-year 2026 revenue outlook of $225–$260 million. These developments underscore SoundHound AI’s ambition to become a leading provider of omnichannel conversational AI solutions across multiple industries.
