Sealed Air Receives Regulatory Approvals for CD&R Acquisition

Sealed Air has obtained all required regulatory clearances for its $10.3bn acquisition by Clayton Dubilier & Rice (CD&R). The deal, first announced in November 2025, is now expected to close in April 2026, subject to remaining standard closing conditions. Upon completion, Sealed Air will become a privately held company with its shares delisted from the New York Stock Exchange. The acquisition will be funded by nearly $4.7bn in leveraged loans marketed by banks.
