Thoma Bravo, a leading private equity firm, has agreed to acquire Verint Systems Inc. (NASDAQ: VRNT) for approximately $2 billion, including debt. The acquisition represents a premium of 4.2% to Verint's closing price on June 30, 2025. The deal is expected to close before the end of Verint's current fiscal year [1].

Verint Systems, based in Melville, New York, specializes in customer experience automation. Its AI-powered Open Platform is designed to enhance customer engagement across various touchpoints, including contact centers, back offices, branches, websites, and mobile apps. The platform leverages Verint Da Vinci AI and behavioral data to provide a range of capabilities, including AI-powered bots, communication channels, routing, virtual assistants, analytics, and quality compliance [2].

Thoma Bravo, with over $184 billion in assets under management as of March 31, 2025, is known for its extensive portfolio of software and technology investments. This acquisition is part of Thoma Bravo's broader strategy to expand its enterprise software holdings and strengthen its position in automation-driven platforms. The firm has acquired or invested in more than 530 companies, including a recent $12.3 billion deal for Dayforce Inc. [1].

Verint's stock had fallen about 25% year-to-date before the announcement, closing at $20.47 on June 30, 2025. The acquisition will value Verint at roughly $2 billion and will see Verint shareholders receive $20.50 per share, an 18% premium to the company's 10-day volume-weighted average price through June 25 [3].

The integration of Verint with Calabrio, another Thoma Bravo-owned company specializing in workforce management software, could enhance Verint's position within Thoma Bravo's ecosystem and potentially improve the scale and reach of its enterprise solutions. This acquisition builds on Thoma Bravo's series of major deals this year, including the acquisition of Olo Inc. and the spin-off of Cognyte Software Ltd. [3].

For investors, the Verint acquisition signals Thoma Bravo's ongoing commitment to building an interconnected software portfolio aimed at capturing long-term enterprise demand.
