Safe Supply Streaming Co Ltd (SPLY), a Canadian-based company listed on the Canadian Securities Exchange (CSE), the Frankfurt Stock Exchange (FSE), and the OTCQB (SSPLF), recently announced a strategic acquisition and consulting agreement aimed at combating the fentanyl crisis and driving innovation in harm reduction technologies [1]. The acquisition of Safety Strips Tech Corp (SSTC), a private company specializing in harm reduction technologies, enhances Safe Supply's portfolio and provides a platform for scaling up operations.
According to the Business Combination Agreement signed on February 10, 2025, Safe Supply will acquire the remaining 94.31% of SSTC's issued and outstanding common shares. In return, SSTC shareholders will receive 1.2748 Safe Supply common shares for each SSTC common share held. The transaction will be effected by way of a three-cornered amalgamation under the British Columbia Business Corporations Act.
Raf Souccar, a highly experienced and accomplished professional, has been appointed as a new director of Safe Supply's board effective February 10, 2025. In addition to his appointment, Souccar has entered into a consulting agreement with Safe Supply on January 14, 2025. As per the Consulting Agreement, Souccar will provide consulting services in relation to his expertise in governance and strategic advisory, playing a key role in shaping Safe Supply's corporate strategy and ensuring strong governance practices.
Souccar's extensive experience in national security, policy, and organizational leadership will be invaluable as Safe Supply continues to expand and strengthen its position in the industry. His past roles in the Royal Canadian Mounted Police (RCMP) include Deputy Commissioner of Federal and International Policing, where he had oversight of the RCMP's role in Canada's Drug Strategy and provided testimony before Parliamentary Committees relative to the opioid crisis and ways to deal with substance abuse disorder. After counseling successive justice ministers on the topic of marijuana legalization, Prime Minister Justin Trudeau appointed Souccar to the nine-member Marijuana Legalization Task Force in 2016.
The acquisition of SSTC and the appointment of Souccar mark significant steps forward for Safe Supply in its mission to combat the fentanyl crisis and drive innovation in harm reduction technologies. These strategic moves position the company for continued growth and success in the industry.
