Rosebank Industries plc, a London-listed industrial investment firm, has initiated a share offering of 575.8 million new shares as part of a broader fundraising effort to finance a £3.05bn acquisition of two U.S.-based companies. The target firms—CPM, a processing equipment supplier for the food and renewable energy sectors, and MW Industries, a precision component engineer—are portfolio companies of American Securities, a U.S. private equity firm.

The equity issue, valued at approximately £1.9bn, will be fully underwritten and include a concurrent retail offer of up to £10 million for UK shareholders according to reports. Combined with new debt facilities, the funding will support the proposed acquisitions, which align with Rosebank's established "buy, improve, sell" strategy. The firm previously acquired Electrical Components International in late 2023, demonstrating its focus on industrial sectors with growth potential.

Rosebank, led by former Melrose Industries CEO Simon Peckham, aims to list on the main market of the London Stock Exchange in Q2 2026, a move intended to enhance liquidity and investor access. The firm's structure mirrors Melrose's historical approach of acquiring, optimizing, and exiting industrial businesses, though Peckham and colleagues faced scrutiny in 2018 over £40m+ bonuses tied to Melrose's GKN acquisition.

The proposed deals, first reported by Sky News and confirmed by Rosebank, represent a significant expansion of the firm's portfolio. If finalized, the acquisitions would mark one of the largest transactions in Rosebank's history and signal confidence in North American industrial markets.

With the share offering underway, investors will closely monitor the transaction's execution and its alignment with Rosebank's long-term strategy of generating value through operational improvements. The firm has not disclosed further details on valuation metrics or expected synergies from the targets.
