The merger agreement, announced on August 27, 2025, involves SOMPO Holdings entering into a definitive merger agreement via a wholly owned subsidiary to acquire 100% of the issued Class A ordinary shares of Aspen Insurance Holdings Limited. This acquisition is expected to accelerate geographic diversification and enhance Aspen's presence in the global property/casualty (re)insurance market.

Aspen Insurance Holdings Limited, a non-operating holding company, and its subsidiaries, including Aspen Insurance UK Limited, Aspen Bermuda Limited, Aspen American Insurance Company, and Aspen Specialty Insurance Company, have seen their Financial Strength Ratings and Long-Term Issuer Credit Ratings placed under review with positive implications. The ratings reflect the potential benefits of being part of a significantly larger insurance organization, which is of greater financial strength.

The transaction is anticipated to close in the first half of 2026, subject to regulatory approvals. AM Best will continue to monitor the situation and provide updates as the transaction progresses and Aspen's business plans are evaluated.
