NatWest Group and Sainsbury’s Bank have entered into a significant agreement to transfer retail banking assets and liabilities, including unsecured personal loans, credit card balances, and savings accounts, under a banking business transfer scheme governed by Part VII of the Financial Services and Markets Act 2000. The transaction, expected to be finalized in the first half of 2025, involves the transfer of approximately £2.5 billion in gross customer assets and £2.6 billion in customer deposits, along with around one million customer accounts.

Under the terms of the agreement, NatWest Group will assume responsibility for customer service, account management, and financial operations for these transferred accounts. Customers will continue to receive the same level of service, with no immediate changes to their terms and conditions. For loan customers, key details such as monthly repayment amounts, payment dates, and loan terms will remain unchanged. However, interest rate calculations may differ slightly due to variations in system methodologies between Sainsbury’s Bank and NatWest.

Savings account holders will also see a transition to NatWest, with their accounts receiving equivalent or improved interest rates and continued FSCS protection up to £120,000 per person. Customers will be issued new account details and will have access to NatWest’s digital banking platforms, including mobile and online banking, for managing their accounts.

The transaction is expected to have a 20 basis point impact on NatWest Group’s CET1 ratio but is anticipated to be accretive to earnings per share. Sainsbury’s Bank will retain its insurance, ATM, and travel money businesses, which are not included in the transfer.

Both organizations have emphasized a commitment to ensuring a smooth transition for customers, with no immediate changes to account terms or customer obligations.
