Moody's Investors Service has assigned ratings to four classes of notes issued by MP CLO VIII, Ltd., a managed cash flow collateralized loan obligation (CLO) refinanced in May 2018. The rated notes include $40.5 million of Class B-R Senior Secured Floating Rate Notes, $42 million of Class C-R Senior Secured Deferrable Floating Rate Notes, and additional senior and subordinate classes. The ratings reflect an updated assessment of the CLO's credit quality, incorporating revised assumptions regarding obligor risk and portfolio performance.

The upgrade of the Class B-R and Class C-R Notes to Aaa (sf) and Aa3 (sf), respectively, follows a comprehensive review initiated in December 2020. The changes are primarily attributed to the application of Moody's updated CLO rating methodology, which includes adjustments for obligors on review for possible downgrade and those with negative outlooks. The CLO's weighted average rating factor (WARF) was recalculated at 2796, down from 3063, reflecting improved credit quality. Additionally, the transaction has experienced deleveraging of senior notes and increased over-collateralization (OC) ratios since October 2020, enhancing the structural support for the rated classes.

Moody's analysis also considered sensitivity scenarios, including potential defaults and deteriorating credit conditions, to assess the resilience of the CLO portfolio amid ongoing economic uncertainty. The CLO is collateralized by a diversified portfolio of broadly syndicated senior secured corporate loans, with a weighted average life of 3.8 years and a weighted average spread of 3.3% before LIBOR floors.

The ratings are subject to ongoing monitoring, as the performance of the CLO's underlying assets remains influenced by macroeconomic conditions and the CLO manager's investment decisions. Investors are advised to consider the potential impact of economic volatility and the evolving credit environment on the CLO's performance.
