Moleculin's $9.3 Million Offering Just Turned MBRX Into a 60%-Plus Dilution Trap


The Offering Broke the Stock Because the Price Gap Was Too Large
A $9.3 million raise has made MBRX much harder to own in the near term. MoleculinMBRX-- priced at $0.75 per share against a $1.02 previous close, and the stock fell to $0.40 on Friday. For a company with a market cap of $2.83M, that kind of discount can force a sharp repricing because relatively little new share supply can overwhelm the float.
Why the offering terms matter more than the headline
The press release may sound routine, but the structure does not protect shareholders. This is a best-efforts public offering, so there is no firm underwriting floor. MIRACLE Data Helps the Narrative, but Not Enough to Cancel the Dilution Hit
The latest trial update is not uninteresting; it is just not strong enough on its own to offset the financing overhang. In the MIRACLE study, 74 of 90 planned subjects have enrolled, the 90th patient is expected in September 2026, and full data unblinding anticipated between December 2026 and February 2027. That keeps the trial in the bridge phase, not the decision phase.
The company also said proceeds will advance clinical development and working capital, which reinforces the message that Moleculin is raising cash to reach the next data milestone rather than rounding out a fully funded push.

The cautious view matters more right now because the current numbers remain blinded and include control subjects, so they are not yet a clean confirmatory efficacy read. That is a meaningful limitation. It also matters that about 48% of the evaluable patients had failed prior venetoclax-based treatment, which makes the population harder to interpret.
What the market is pricing right now
For now, the market is treating the trial update as secondary to the capital raise. A promising signal can support a story, but it does not yet give investors enough confidence to ignore the financing need and the warrant-related supply that may follow closing.
Watch two milestones: September 2026 for completion of enrollment, and December 2026 through February 2027 for full unblinding. If those steps preserve the earlier efficacy gap, the bull case strengthens materially. If they do not, the offering looks less like fuel for the program and more like timing pressure ahead of weaker follow-through.
MBRX Looks Like an Avoid Until Confirmation
That leaves MBRX in a narrow waiting game. With closing expected on or about August 3, the near-term issue is not whether the raise is merely inconvenient. It is whether the deal closes cleanly and then gets overshadowed by warrant supply before the next meaningful science emerges.
My stance remains avoid until confirmation. Right now, MBRX is a watchlist name, not a buy. Investors need less share supply and stronger proof that the science can support it.
The bearish view weakens only if enrollment finishes on time and the full unblinded readout shows a durable gap that holds up from the earlier June signal. If that happens, the current panic could start to look like mispriced optionality. If not, rallies are more likely to be used for de-risking than celebrated as a turnaround.
