Lattice Semiconductor reported its best quarter ever on Aug. 4 — revenue up 62%, the compute-and-communications line up 83%, per-share earnings more than double year over year — and the stock has spent the weeks since drifting lower. At a recent $114, it sits about 27% below the $157 high it set earlier this year, a give-back that arrived even as the company beat its own guidance and told investors it had essentially booked 2027.

That gap between the record and the retreat is the whole argument over this stock. The strong-buy camp reads the pullback as a gift: a genuine AI-growth story on sale. The cautious camp reads the same chart as a crowded trade paying the market back. The resolution isn't a sentiment call. It's a matter of separating two different claims traveling under the same ticker — an FPGA upcycle that has now shown up in Lattice's income statement, and a $1.65 billion software acquisition whose first reported quarter is still ahead of us. Which is which is the entire test of the bull case.

Start where LatticeLSCC-- sits in the AI build-out, because it's not the seat most people assume. This is not a GPU company. It makes small, low-power FPGAs that ride alongside the big processors and do the work the main silicon ignores — booting the server, sequencing power, watching temperatures, managing the board. Management calls it a companion-chip business: in the infrastructure supporting AI, one CPU is accompanied by multiple Lattice FPGAs, and in some servers those FPGAs connect to as many as 1,200 sensors for power and cooling control.

That architecture explains both the growth and the exposure. The AI thesis here isn't a share of accelerator sales; it's the number of servers being built and the control content inside each one. As racks get denser, hotter, and more security-sensitive, chips per box and sensors per rack climb. Lattice doesn't need to win the compute. It needs the build-out to keep running.

The evidence that this is a real upcycle, not a narrative, arrived with the second-quarter report. Revenue hit a record $201.1 million, up 62% from a year earlier and above the top of guidance. Compute & Communications — the bucket where data-center demand lands — rose to $126.0 million, up 83%. Non-GAAP gross margin hit 71.7%, adjusted EBITDA reached $86.4 million (a 43% margin), free cash flow was $81.3 million, or 40.4% of sales, and non-GAAP EPS of $0.53 was up more than 120%, about 20% ahead of consensus. Management called it a "Rule of 105" quarter — growth rate plus EBITDA margin.

The forward indicators agree with the report. Bookings are accelerating and, in management's words, "2027 is pretty much booked." New products are tracking above 25% of 2026 revenue, raised from an earlier 20–25% target. Design wins are at record levels with tier-one customers, including partnerships alongside ASPEED for server baseboard management and alongside Texas Instruments' radar at NVIDIA's GTC.

The constraint, tellingly, is on the supply side. Industry assembly capacity is the bottleneck through the middle of the chain, expedite fees are rising, and management is signing capacity agreements with suppliers while asking customers for commitments of their own, expecting supply and demand to realign by September. Commitments like that cut both ways — they are a demand signal and a delivery obligation at the same time. But the picture overall is what an operating upcycle looks like: demand so strong it's bumping into capacity, with costs and pricing moving up together. This is the earned half. It is reported, cash-flowed, and backlog-confirmed.

Then there's the other half, and it's the louder part of the bull case. On July 27, Lattice closed its $1.65 billion acquisition of AMI, a private Georgia-based supplier of platform firmware — the code that runs before the operating system boots — sitting inside servers across hyperscalers, OEMs, and ODMs. Its UEFI and BMC firmware, stacked around products like the MegaRAC manageability suite, sits in the boot path of a large share of the world's servers. Lattice's pitch is that FPGAs plus firmware equal a "secure management and control platform" for AI data centers and physical AI, doubling its addressable market from roughly $6 billion to $12 billion.

The economics Lattice is buying are software economics. AMI is guided to more than $200 million of 2026 revenue, gross margins above 75%, and adjusted EBITDA margins around 40%, with revenue that recurs through licensing, royalties, and subscriptions — about 60% boot firmware, 40% manageability. If those numbers hold, the acquisition changes the kind of company Lattice is: no longer hardware sold once per device, but a platform whose firmware layer carries the multiple. That's the structural argument, and it's the reason the deal repriced the stock.

But here is the timing fact that separates promise from delivery. The deal closed on July 27, so its contribution to the income statement has barely begun. Q3 guidance embeds only about two months of AMI — total revenue of $245–265 million versus $210–230 million on the FPGA business alone — and management says meaningful EPS accretion starts in Q4. The >75% margins, the $200 million-plus of revenue, the accretion: all of it is a claim about the next two quarters, not a reported result yet.

And the price was paid up front. The transaction is roughly $1 billion in cash and $650 million in Lattice stock — about 5.2 million new shares, roughly 4% dilution — financed with about $950 million in funded debt on a balance sheet that had carried no net debt. Standard & Poor's put pro-forma leverage near 2.2x EBITDA with a BB rating.

Now put the number on the whole thing. At a market cap near $16 billion, Lattice trades at about 25x the roughly $650 million in revenue it reported over the last four quarters — the earned half. Management's targets carry the combined business past a $1 billion annualized run rate by the third quarter, a quarter early, toward about a $1.2 billion run rate exiting 2026. On those forward figures the multiple compresses toward 14–15x — but that's the price of the promised half, the AMI-augmented company that hasn't reported yet. The market is capitalizing AMI's software margins before a single AMI quarter sits in the Lattice income statement.

The tape deserves context, too. The stock bottomed near $60 over the past year and set its $157 high during the AI re-rating, so a 27% give-back into a sector that whipsawed in June and questioned its own AI-spending assumptions in August is as much crowd as it is company.

Keep the two halves separate and the position question answers itself. The upcycle half is earned — reported, cash-flowed, backlog-confirmed — and when a strong report is met with a selloff, that's usually a buying opportunity, not a verdict; the stock did rally 8.5% on the Aug. 4 report before giving it back after hours. The AMI half is a thesis waiting on its first reported quarter, and two facts will decide it, both landing over the next two reports. One: whether AMI actually books the guided >75% gross margins and $200 million-plus of revenue when the fourth quarter lands. Two: whether the assembly bottleneck clears on schedule so a 65% growth rate holds into 2027.

So the strong-buy case is a statement about Q4 2026 and 2027, not about the quarter already in the books. If AMI's software margins land, the market was early, not wrong. If they don't — or if the supply chokepoint stalls the growth into next year — a stock priced near 15x forward revenue for a software shift it hasn't reported has more room to give than the bull case allows. The question is not whether Lattice can execute; the record says it can. The question is whether roughly $16 billion already pays for delivery a shareholder hasn't received — the difference between a stock that has earned its rally and one that is pricing it in.
