Kinder Morgan Acquires El Paso Corp. for $23B, Presents Pro Forma Financials

Kinder Morgan acquired El Paso Corporation for $23 billion, with shareholders receiving $11.6 billion in cash, 330 million Kinder Morgan Class P shares, and 505 million Kinder Morgan warrants with a fair value of $863 million. The warrants have an exercise price of $40 and a five-year term. EP Energy was sold for $7.2 billion, and the Unaudited Pro Forma Statements present this as if it occurred on March 31, 2012.
