Ionic Digital Stockholders Establish Website for Proxy Voting Amid Legal Battle
Three stockholders of Ionic Digital Inc. (“Ionic Digital” or the “Company”), Tony Vejseli, Chris Villinger, and Brett Perry (collectively, the “Nominating Stockholders”), have announced the creation of a website to facilitate proxy voting for their nominees – Mike Abbate and Oliver Wiener – at the Company’s upcoming annual meeting of stockholders, currently scheduled for March 17, 2025 (the “Annual Meeting”).
Ionic Digital has refused to provide the Nominating Stockholders with its stockholder list, prompting them to file a lawsuit in the Delaware Court of Chancery to obtain the list. A trial is scheduled for March 11, 2025. Despite these challenges, stockholders can still vote for the Nominating Stockholders’ nominees by visiting www.ionicvote.com and voting for a GOLD proxy card today.
The website, www.ionicvote.com, also contains relevant information and documents concerning the Nominating Stockholders and the Company, including a copy of the Nominating Stockholders’ proxy statement. All Ionic Digital stockholders are encouraged to read the proxy statement and vote their GOLD proxy card today.
Given the short time frame until the Annual Meeting on March 17th, the Nominating Stockholders invite all stockholders to vote today. It is crucial that voting stockholders enter their name and address exactly as they appear on the Odyssey website. The Nominating Stockholders remain committed to enhancing transparency, efficiency, and accountability concerning Ionic Digital’s financial and operational metrics and seeking to provide liquidity to their fellow stockholders in the near term.
