Heartland: TSB bank deal continues to target completion in Dec.
Heartland Group Holdings Limited (ASX:HGH) continues to target the completion of its proposed merger with TSB Bank Limited in December 2026, subject to the satisfaction of conditions outlined in the conditional merger implementation agreement (MIA) signed with Toi Foundation and Toi Foundation Holdings Limited. The transaction involves Heartland acquiring all TSB shares for an aggregate consideration of $620 million, with the merged entity named TSB Heartland Bank Limited.
The merger aims to create a challenger bank of scale with a regional focus, combining Heartland Bank’s specialist product expertise with TSB’s cost-effective funding platform and transactional banking capabilities. The combined entity is expected to hold approximately $15 billion in total New Zealand assets, significantly expanding Heartland’s asset base. Material synergies are anticipated to be realized over a three-year period post-completion, with an estimated annual pre-tax benefit of ~$34 million.
Key milestones include community consultation in Taranaki, shareholder approval, and regulatory clearances. Heartland shareholders are expected to vote on the transaction in August 2026. Transaction costs are estimated at $15 million, with $7 million expensed in FY2026 and $8 million in FY2027. The merger is also expected to enhance Heartland’s capital efficiency and long-term credit rating prospects.
