Healthcare Triangle (HCTI) shares rose 17.94% in intraday trading Thursday after the company announced a separation agreement with its AI subsidiary, Teyame AI Holdings Inc., paving the way for a planned direct listing on NASDAQ. Under the agreement, HCTI's Board of Directors has approved a stock dividend that would distribute a minority interest of Teyame AI Holdings common shares to existing HCTI shareholders. The separation agreement outlines the allocation of assets and liabilities between the two companies, transition services, and other customary terms.
The plan is not immediate. Completion of the direct listing is subject to SEC review of a registration statement to be filed by Teyame AI Holdings, as well as formal approval by NASDAQ. HCTI's Board approved the stock dividend distribution to shareholders of record as of a future record date, which will be prescribed in upcoming filings.
Teyame AI Holdings consolidates Teyame 360 S.L. and Datono Mediación S.L. — two AI-powered customer experience businesses that HCTI acquired earlier this year under a share purchase agreement dated January 22, 2026.
The acquired operations have quickly become the company's primary revenue driver. According to HCTI's Q2 2026 earnings report, the Teyame and Datono businesses contributed $6.31 million in quarterly revenue, or roughly 69% of total Q2 sales of $9.19 million. The customer engagement segment also drove gross margin expansion from 13.8% to 22.5% year over year.
By separating Teyame AI Holdings and listing it independently, the company aims to give the AI-focused business direct access to capital markets and clearer strategic visibility.
The stock was trading at approximately $0.86 at midday on the announcement. Healthcare TriangleHCTI-- has already been a standout performer this year, up roughly 97.55% year-to-date as of September 3.
HCTI appears to be positioning the separation as a value-unlock play, though the execution path carries several hurdles. The transaction is contingent on both SEC and NASDAQ approval. As a micro-cap company with a market capitalization in the low tens of millions, HCTI has a history of complex M&A activity, including significant share issuances in connection with prior deals.

The company also faces persistent profitability challenges. While revenue has grown sharply following the Teyame acquisition, HCTI remains unprofitable on a net basis, and investors will likely be watching to see whether the separation can materially improve the company's financial outlook.
With the separation agreement in place but still subject to regulatory review, the next earnings call — scheduled for mid-November — should provide the first update on the transaction timeline and any revised guidance for both entities. Investors should also watch for the SEC registration statement filing and the formal NASDAQ listing approval, which are prerequisites for the direct listing to move forward.
