The merger between Golden Ocean Group Limited (GOGL) and CMB.TECH NV has been successfully completed, with GOGL shares delisted on 19 August 2025. This significant event marks the culmination of a strategic partnership aimed at enhancing the combined company's market position and operational efficiency.

Golden Ocean, a Bermuda-incorporated shipping company specializing in the transportation of dry bulk cargoes, has a fleet of 89 vessels with an aggregate capacity of approximately 13.5 million deadweight tonnes. The company's ordinary shares were listed on Nasdaq and the Euronext Oslo Børs under the ticker symbol "GOGL" [2].

The merger, which was announced on 28 May 2025, involved GOGL merging into CMB.TECH Bermuda Ltd., a wholly-owned subsidiary of CMB.TECH. CMB.TECH will be the surviving entity, and the merger consideration shares will be issued by CMB.TECH NV [1]. The exchange ratio for the merger is 0.95 CMB.TECH shares for each GOGL share [2].

The completion of the merger was subject to the approval of shareholders at a Special General Meeting (SGM) scheduled for 19 August 2025. With the successful completion of the SGM, the last trading day for GOGL shares on both NASDAQ and Euronext Oslo Børs was 19 August 2025 [3].

The effective date for the completion of the merger is 20 August 2025, before the market opening in Central European Summer Time. The first day of trading in the combined company and CMB.TECH shares will be on 20 August 2025 on both NASDAQ and Euronext Oslo Børs [1]. The record date for the delivery of CMB.TECH shares to former GOGL shareholders on NASDAQ is 20 August 2025, and on Euronext Oslo Børs, it is 21 August 2025 [1].

Following the merger, GOGL will be delisted from Nasdaq and Euronext Oslo. CMB.TECH will retain its listings on the NYSE and Euronext Brussels and intends to pursue a secondary listing on the Oslo exchange [2].

The merger is expected to benefit both companies by leveraging CMB.TECH's extensive financial resources and operational expertise to complement Golden Ocean's established shipping capabilities. The combined entity will continue to operate under the CMB.TECH brand, with the merger expected to result in operational synergies and enhanced market competitiveness.
