Frontera, Parex pact for Colombian E&P assets portfolio
Frontera Energy Corporation (TSX: FEC) has determined that a binding offer from Parex Resources Inc. to acquire its upstream Colombian exploration and production (E&P) assets constitutes a "Superior Proposal" under the terms of its prior agreement with GeoPark Limited. The Parex offer values the assets at $500 million in cash, plus a $25 million contingent payment tied to development milestones and the assumption of $390 million in debt and obligations according to the company. This exceeds GeoPark's previously agreed $375 million purchase price for the same assets as reported by Reuters.
Under the GeoPark arrangement agreement, the company has a five-business-day "Matching Period" (until March 12, 2026) to potentially revise its terms to counter the Parex proposal as detailed in their announcement. However, GeoPark has declined to increase its offer, stating that doing so would conflict with its capital discipline and long-term strategic priorities, including maintaining financial flexibility and focusing on higher-return opportunities in its existing portfolio as stated in their press release.
Frontera's board maintains its recommendation for shareholders to approve the GeoPark transaction, pending the outcome of the matching period as confirmed in their update. The company emphasized that no assurance exists that the Parex offer will culminate in a finalized deal according to company statements. GeoPark will retain the $25 million break fee if Frontera terminates the original agreement to pursue Parex's offer as part of the transaction terms.
The Parex proposal, if finalized, would create the largest independent energy platform in Colombia by combining Frontera's 18 exploration and production blocks with Parex's existing operations as reported by Yahoo Finance. Both transactions remain subject to regulatory and shareholder approvals. Updates on GeoPark's potential response to the matching period are expected in the coming days according to company communications.
