Flora Growth Corp. (NASDAQ: FLGC) has secured $401 million in funding through a private placement transaction, positioning the company to implement a treasury strategy centered on the 0G blockchain’s native cryptocurrency, $0G [1]. The transaction includes $366 million in in-kind digital assets and $35 million in cash and equivalent commitments. Proceeds will be used to acquire additional $0G tokens, with the company planning to rebrand as ZeroStack and retain the
ticker symbol upon the transaction’s completion, expected by late September 2025 [3]. The offering is led by DeFi Dev Corp., the first digital asset treasury company to accumulate and (SOL), alongside other investors such as Hexstone Capital, Dao5, and Abstract Ventures [1].The rebranding to ZeroStack reflects Flora’s strategic pivot toward decentralized AI infrastructure. The company will hold a portion of its treasury in
tokens as part of its collaboration with DeFi Dev Corp. [1]. Daniel Reis-Faria, incoming CEO, emphasized that AI is reshaping infrastructure development, stating the treasury strategy offers institutional investors equity exposure to a “transparent, verifiable, large-scale, cost-efficient, and privacy-first AI development” framework [3]. The 0G blockchain, which underpins the initiative, has demonstrated a 357x improvement over Google’s DiLoCo research by training a 107 billion parameter AI model on distributed clusters over low-throughput internet connections [1]. This achievement, according to 0G, validates the viability of decentralized networks for handling complex computational tasks previously requiring centralized data centers [3].Key terms of the transaction include a purchase price of $25.19 per share and a $3.00 valuation per $0G token contributed in-kind. Investors funding purchases with $0G tokens or cash will receive pre-funded warrants exercisable upon shareholder approval [1]. DeFi Dev Corp.’s CEO, Joseph Onorati, highlighted the collaboration’s potential to drive AI adoption on Solana, while the company plans to allocate a portion of its treasury to SOL holdings [1]. The transaction’s closing is contingent on customary conditions, with funds expected to be deployed to expand 0G’s ecosystem.
The 0G blockchain’s infrastructure integrates proprietary storage, compute, and training networks into an all-in-one operating system, enabling seamless AI tool integration for Web2 and Web3 developers [3]. This vertical integration positions 0G as the first Web3 AI company to fully decentralize AI workloads. Flora’s rebranding aligns with its shift from pharmaceutical distribution to a decentralized AI treasury model, leveraging Phatebo GmbH’s existing operations to diversify into AI infrastructure [1].
Market analysts note the transaction’s potential to catalyze institutional interest in AI-driven digital assets. The airdrop of $0G tokens, scheduled ahead of the rebranding, could further amplify adoption by distributing tokens to stakeholders. However, the strategy’s success hinges on the 0G network’s ability to scale and maintain computational efficiency amid regulatory and market volatility. Flora’s forward-looking statements, including rebranding timelines and treasury allocation, are subject to risks outlined in its SEC filings, including market price fluctuations and regulatory uncertainties [1].
