Fiserv investors sue over alleged securities violations, seek damages.

Fiserv, Inc. is facing a class action lawsuit for alleged violations of securities laws. The lawsuit claims that investors who purchased Fiserv's securities between July 24, 2024, and July 22, 2025, were misled. Fiserv, Inc. (NYSE: FI) is currently facing a class action lawsuit alleging violations of securities laws. The lawsuit, filed by Pomerantz LLP, claims that investors who purchased Fiserv's securities between July 24, 2024, and July 22, 2025, were misled. The lawsuit, filed on August 17, 2025, by Pomerantz LLP, alleges that Fiserv and its officers and/or directors engaged in securities fraud or other unlawful business practices. According to the complaint, Fiserv made false and misleading statements and/or failed to disclose material information about its Clover platform. The lawsuit claims that Fiserv's Clover gross payment volume (GPV) growth was temporarily and unsustainably boosted by forced conversions from its older Payeezy platform, which concealed a slowdown in new merchant business. Additionally, the lawsuit alleges that Fiserv's positive statements about Clover's growth strategies and business prospects were materially false and misleading.

Fiserv's stock price has been significantly impacted by the lawsuit. On April 24, 2025, Fiserv's stock price fell $40.20 per share, or 18.52%, to close at $176.90 per share after reporting Clover GPV growth of only 8% for the first quarter of 2025. Further declines occurred on May 15, 2025, and July 23, 2025, as Fiserv disclosed continued deceleration in GPV growth and confirmed a reduction in its full-year organic growth guidance range.
