Empery Digital has adopted a limited-duration shareholder rights plan to protect shareholder interests and prevent any person or group from gaining control without appropriately compensating shareowners. The plan, which expires on February 2, 2027, applies equally to all shareholders and does not deter offers or preclude the Board from considering fair and beneficial offers. The plan allows for the redemption of rights upon completion of qualifying offers supported by two-thirds of the Company's stock.
