Eightco Holdings Inc. (NASDAQ: OCTO) has announced its strategic move of securing a $250 million private placement, along with an additional $20 million investment from BitMine Immersion Technologies (NYSE AMERICAN: BMNR), marking the initiation of the world's first Worldcoin (WLD) treasury strategy. The transaction, led by MOZAYYX, involves the issuance of approximately 171,232,877 shares of common stock, priced at $1.46 per share, leading to expected aggregate gross proceeds of $250 million before expenses. Additionally, BitMine was issued 13,698,630 shares at the same price, generating $20 million in proceeds.

This strategic financial movement is expected to close on or around September 11, 2025, pending customary closing conditions and authorization from NASDAQ. Eightco plans to utilize the proceeds to acquire Worldcoin (WLD) as the primary treasury reserve asset, with plans to change its Nasdaq trading symbol to "ORBS" following the transaction's completion.
