Deal to give PNC some $27B in assets, 95 branches: WSJ
PNC Bank has announced its intention to acquire Aqueduct Capital Group, a move that aims to bolster its primary fund placement capabilities. The acquisition is expected to close in midsummer, subject to customary closing conditions, as per a May 20 press release. This strategic move comes amidst a series of expansions and partnerships that PNC has been undertaking to enhance its financial services offerings. The acquisition of Aqueduct Capital Group will complement the existing capital advisory capabilities provided by PNC’s subsidiary, Harris Williams. Harris Williams, a global investment bank specializing in mergers and acquisitions and private capital advisory services, will benefit from Aqueduct’s expertise in raising capital for private equity, private credit, and real asset managers. Aqueduct, founded in 2003, has been advising clients on various fundraising solutions, making it a valuable addition to PNC's portfolio.
Michael D. Thomas, head of corporate and institutional banking at PNC, highlighted the strategic importance of the acquisition: “This acquisition is complementary to existing capital advisory capabilities provided through PNC’s subsidiary Harris Williams and will enable us to expand our ability to serve the global capital needs of the private equity industry.”
John Neuner, Co-CEO of Harris Williams, noted the minimal overlap in client bases and limited partner relationships, which will allow for a broader range of clients to be served. Frank Edwards, founder of Aqueduct, emphasized the opportunity to tap into collective relationships, enabling clients to diversify their investor base across North America, Australia, Europe, and Asia.
This acquisition is part of a broader strategy for PNC to expand its financial services capabilities. In May 2024, PNC and global asset manager TCW Group formalized and expanded their partnership to develop a private credit platform focused on middle market lending. The bank also acquired point-of-sale and payment solutions firm Linga in 2022, enhancing its corporate payments capabilities, particularly for the hospitality and restaurant industry. Additionally, in 2021, PNC completed its acquisition of BBVA USA, accelerating its national expansion and bringing its technology, products, and services to new markets and clients.
Institutional investors have shown significant interest in PNC. AQR Capital Management LLC increased its holdings in The PNC Financial Services Group by 187.3% in the first quarter of 2025, acquiring 926,709 shares to reach a total of 1,421,434 shares valued at $245.05 million. The company recently announced a dividend increase to $1.70 per share, up from $1.60, resulting in an annualized dividend yield of 3.3%.
The PNC Financial Services Group, Inc. reported $3.85 EPS for the quarter, beating the consensus estimate of $3.56 by $0.29. The firm had revenue of $3.01 billion for the quarter, compared to analyst estimates of $5.61 billion. The company's return on equity was 11.07%, and its net margin was 18.33%. Analysts expect The PNC Financial Services Group to post 15.37 EPS for the current fiscal year. Historically, PNC has demonstrated a strong short-term performance following earnings beats: from 2022 to the present, the stock has a 54.55% win rate over three days, 63.64% over ten days, and 72.73% over 30 days after exceeding expectations. The maximum observed return was 3.33% on September 56.
The acquisition of Aqueduct Capital Group is expected to strengthen PNC’s position in the private equity and real asset markets, further enhancing its ability to serve a diverse range of clients globally. As PNC continues to expand its services and capabilities, investors and financial professionals should closely monitor the company’s progress and the impact of these strategic moves on its financial performance.
